Finaive TrustScore Terms and Conditions (v1.0 Beta)

1. Acceptance of Terms
By accessing or using the Finaive TrustScore platform (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Service. These Terms form a binding legal agreement between you and Finaive ("Finaive", "we" or "us") governing your use of the TrustScore Service.
2. Eligibility
You must be at least 18 years old and legally capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet this age requirement and are not barred from using the Service under any applicable laws (for example, due to sanctions or embargoes). If you are using the Service on behalf of an organization, you represent that you have authority to bind that entity to these Terms.
3. Scope of Service (TrustScore Only)
These Terms apply only to the use of the Finaive TrustScore platform, which provides probabilistic risk signals and trust scores for informational purposes. They do not govern any other products or services of Finaive, such as marketplace, escrow, payment, or commerce features, which may be subject to separate terms in the future. The TrustScore Service is currently provided as a beta version (v1.0) and is feature-frozen; you understand that features or functionality may change in later versions but will not be expanded during this beta phase.
4. Acceptable Use
When using the Service, you agree to adhere to the following acceptable use requirements. You must not:
- Use the Service for any unlawful purpose or any purpose prohibited by these Terms.
- Use the Service in any manner that could damage, disable, overburden, or impair our systems, or interfere with any other party's use and enjoyment of the Service.
- Post, upload, or transmit any content that is illegal, fraudulent, defamatory, harassing, or infringes someone else's rights (including intellectual property rights or privacy rights). This includes refraining from using the Service to defame, abuse, harass, stalk, or threaten others.
- Upload or introduce any viruses, malware, or malicious code into the Service, or otherwise use the Service in a way that could harm the Service or other users' devices. You must not attempt to probe, scan, or test the vulnerability of any Finaive system or network or breach any security or authentication measures.
- Attempt to reverse engineer, decompile, or otherwise extract the underlying source code or algorithms of the Service, nor use any automated systems (such as bots or scrapers) to access or collect data from the Service without our permission.
- Misuse the Service by submitting false or misleading information or reports. You are prohibited from using the TrustScore or any related data as the sole basis for making legal, employment, or financial decisions, as further detailed in Section 7 below.
We reserve the right to investigate and take appropriate action (including suspension or termination of your account or access) for any violation of the above. You are responsible for all content and data you provide to the Service, and for your conduct while using the Service.
5. User Reports and Content
The Service may allow users to submit reports, feedback, or other content regarding suspected fraud, scams, or trustworthiness of entities ("User Reports"). By submitting any content, you grant Finaive a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display that content for the purposes of operating and improving the Service. You represent that your submitted content is not unlawful, false, or defamatory, and that you have the right to provide it.
No Obligation to Act on Reports: Finaive is not obligated to monitor, verify, respond to, or act upon any User Report or other user-submitted content. We may, at our sole discretion, review and use user submissions to adjust TrustScores or for other Service improvements, but we make no guarantee that any action will be taken in response to a report. User Reports are considered unauthenticated allegations and are not verified by Finaive; they do not represent our opinions or conclusions. We reserve the right to remove or refuse to post any user content at our sole discretion, for example if we believe it violates these Terms or applicable law.
No Endorsement of User Content: Finaive does not endorse, guarantee, or assume responsibility for the accuracy or reliability of any content provided by users. Any opinions, advice, or statements made in User Reports or other user content are those of the users posting them, not of Finaive. You understand that using or relying on any user-submitted information is at your own risk, and such information may be incomplete, inaccurate, or potentially false.
6. Nature of Service – Informational Purposes Only
Finaive TrustScore is an informational tool that provides contextual, probabilistic risk assessments (TrustScores) based on available signals and data. These TrustScores are opinions and statistical estimates – they are not statements of absolute fact or guarantees of any particular outcome. The Service does not conclusively identify fraud or scams, verify anyone's identity, or certify the truth or legitimacy of any person, entity, or transaction. Instead, it offers an automated analysis intended to assist users in making their own decisions.
No Guarantee of Accuracy or Completeness: The TrustScore and any related risk signals are provided on an as-is basis (see Section 8 below). We do not warrant or represent that any score, recommendation, or information provided is complete, accurate, current, or free from errors. The TrustScore is inherently limited by the data available and the algorithms used; new or unknown information may not be reflected. A high TrustScore does not guarantee that an entity is safe or trustworthy, and a low TrustScore does not necessarily mean an entity is fraudulent. All TrustScores are relative, probabilistic indicators subject to change as new data emerges.
No Reliance; User's Responsibility: You agree that you will use your own judgment and take reasonable precautions in making decisions, and you will not unconditionally rely on the TrustScore as the sole basis for any decision. Finaive explicitly warns that TrustScore results are indicative only and should not be regarded as definitive advice or evidence. You are solely responsible for any decisions or actions you take based on information from the Service. Finaive will not be liable for decisions you make or outcomes you experience (financial, legal, or otherwise) by relying on the TrustScore or any related content (see Section 9 on Liability).
7. No Professional Advice
All information and guidance provided by the TrustScore Service is for general informational purposes and does not constitute professional advice of any kind (including but not limited to legal, financial, or investment advice). The TrustScore is not a substitute for professional judgment or advice. For instance, any risk indication or "score" on our platform should not be relied upon for personal, legal, financial, or business decisions without seeking advice from qualified professionals. Finaive is not a financial institution, credit bureau, insurance underwriter, or law firm, and we are not providing credit ratings, legal counsel, or certification of authenticity.
You acknowledge that no information or recommendation obtained from the Service is intended to be, or should be construed as, an assurance of any outcome or a guarantee of truthfulness. Users should consult appropriate professionals for advice tailored to their situation. Finaive's TrustScore outputs are one factor among many; you should not treat them as determinative. We expressly disclaim any duty to advise you or any obligation to update the information provided, except as explicitly stated in these Terms.
8. Disclaimer of Warranties
AS-IS / AS-AVAILABLE: Finaive provides the TrustScore Service and all related content, data, and features strictly on an "as is" and "as available" basis, with all faults. We make no warranties or guarantees of any kind, express or implied, about the Service. To the maximum extent permitted by law, Finaive disclaims all representations and warranties (express, implied, or statutory) regarding the Service, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of data.
In particular, we do not warrant or represent:
- That the information, scores, or any content provided on our Service is complete, accurate, up-to-date, or reliable. The TrustScore results are probabilistic and subject to error; Finaive makes no guarantee that any risk assessment is correct or will remain unchanged.
- That the Service will meet your requirements or expectations, or that it will be uninterrupted, timely, secure, or error-free in operation. Given the beta status of the platform, you acknowledge the Service may have bugs, inaccuracies, or downtime. We do not guarantee 100% availability of the Service and may experience technical issues or require maintenance.
- That any defects or errors in the Service will be corrected, or that the Service will be free of viruses, malware, or other harmful components. You assume all risk for any damage to your computer system or loss of data that results from your use of the Service.
- That using the Service will definitively prevent fraud, improve your safety, or produce any particular outcome. No advice or information obtained from Finaive or through the Service shall create any warranty not expressly stated in these Terms.
Beta Software Disclaimer: You understand that the TrustScore platform is in Beta and is provided for evaluation and feedback purposes. As such, it may contain errors, and its algorithms and data sources may not be fully optimized. Finaive makes no warranty that the beta Service is ready for production use or that it will operate without interruption or error. Your use of this Beta Service is at your sole risk.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent that such laws apply to you, some of the exclusions above may not apply. In that case, Finaive's warranties are limited to the minimum scope permitted by law.
9. Limitation of Liability
No Indirect or Consequential Damages: To the fullest extent permitted by applicable law, in no event will Finaive or its affiliates, officers, employees, or agents be liable to you for any indirect, incidental, special, punitive, or consequential damages whatsoever. This includes, without limitation, any damages for lost profits, lost savings or revenue, loss of business or goodwill, loss of data, or business interruption, arising out of or in connection with your use of (or inability to use) the Service or reliance on any TrustScore information. These exclusions apply regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Finaive has been advised of the possibility of such damages.
Cap on Direct Damages: To the extent that liability cannot be fully disclaimed, you agree that the maximum aggregate liability of Finaive for all claims arising out of or relating to the Service or these Terms will not exceed the greater of U.S. $100 or the total amount (if any) you paid to Finaive for use of the Service in the 12 months preceding the claim. If you use the Service for free, Finaive's total liability shall be zero to the maximum extent allowed by law. This limitation is cumulative and will not be increased by the existence of more than one claim.
User's Decisions and Third-Party Content: Under no circumstances will Finaive be liable for any decisions you make or actions you take in reliance on the TrustScore or any content on the Service. You assume full responsibility for the consequences of your use of the TrustScore outputs. Finaive is not liable for any misuse or misinterpretation of TrustScore analysis results by you or any third party. Additionally, Finaive will not be responsible for any user-submitted content, such as false reports or defamatory statements made by users; we do not assume liability for any such third-party content, and any harm resulting from it is solely between the user who provided that content and the affected party.
No Liability for Force Majeure: Finaive will not be liable for any failure or delay in performing its obligations where the failure or delay results from any cause beyond our reasonable control, including but not limited to network outages, internet disruptions, strikes, natural disasters, war, acts of terror, or acts of government.
If you are dissatisfied with the Service or any portion of these Terms, your sole and exclusive remedy is to stop using the Service. This limitation of remedies is a part of the bargain between you and Finaive and shall apply even if any remedy fails of its essential purpose.
10. Indemnification
You agree to indemnify, defend, and hold harmless Finaive and its parent, affiliates, officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, judgments, awards, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service or TrustScore results, (b) your violation of these Terms, or (c) your violation of any applicable law or the rights of any third party. This means that if a third party sues us because of something you did (for example, if you posted defamatory content or misused the TrustScore in a way that causes harm), you will be responsible for all costs and damages we incur as a result.
Finaive reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. You shall not settle any such claim without Finaive's prior written consent unless the settlement releases Finaive of all liability and imposes no obligations on Finaive.
This indemnity obligation will survive any termination of your relationship with Finaive or your use of the Service.
11. Service Modifications and Availability
Finaive reserves the right to modify, update, suspend, or discontinue the TrustScore Service (or any part of it) at any time, with or without notice. We are continually improving our platform and may add or remove features, impose limits on certain features, or correct errors as needed. You acknowledge that the Service may be updated or changed without prior notice. Any new feature that enhances or changes the current Service shall be subject to these Terms (unless it is accompanied by separate terms).
We also reserve the right to suspend or restrict your access to the Service (in whole or in part) for maintenance, upgrades, or any other reason, without liability. There is no guarantee of continuous or uninterrupted availability of the Service. For example, access may be temporarily suspended for system maintenance or in the event of technical issues. Finaive shall not be liable for any losses or inconveniences caused by temporary unavailability or any modification of the Service.
Except as expressly provided otherwise in these Terms, you are not entitled to any compensation or refund due to any Service downtime, modification, or discontinuation. We may also, at our sole discretion, discontinue the Service entirely. If we decide to terminate the Service in full, we will make reasonable efforts to provide notice to users in advance, but we are not obligated to do so.
12. Suspension and Termination of Use
By Finaive: We may, in our sole discretion and without prior notice, suspend or terminate your account or your access to the TrustScore Service at any time for any reason or no reason, including if we believe that you have violated these Terms, engaged in fraudulent or illegal activities, or if you have engaged in behavior that we determine to be abusive or harmful to the Service or other users. Suspension or termination may include disabling your access to the Service or any part of it, and removing or discarding any content you have contributed. In such cases, we are not liable to you for any termination of your access or for the deletion of your data. If your access is terminated due to a breach of these Terms or misconduct, you will not be entitled to any refund or compensation for any unused features or services (if any fees were paid).
We also reserve the right to terminate or delete user accounts that are inactive for an extended period, or to ban users who repeatedly violate our policies. Upon termination, your right to use the Service will immediately cease. Finaive may delete any data associated with your account after termination, except to the extent we are required or permitted to retain it by law or under our Privacy Policy.
By You: You may terminate your use of the Service at any time by ceasing to access it or by deleting your user account (if an account was created). If you have an account, you may have an option in your profile settings to deactivate or delete it; if you require assistance with termination, you may contact us. Termination of your account will be handled in accordance with our Privacy Policy regarding deletion of user data.
Surviving Provisions: All provisions of these Terms which by their nature should survive termination (including, without limitation, disclaimer of warranties, limitations of liability, indemnification, governing law, and dispute resolution provisions) shall survive any termination of your access or account.
13. Governing Law and Jurisdiction
Except to the extent otherwise required by applicable law (such as local consumer protection laws), these Terms and any dispute or claim arising out of or related to these Terms or your use of the Service shall be governed exclusively by the laws of England and Wales, without regard to its conflict of law principles. We choose this governing law to provide a neutral and predictable legal framework for this Agreement.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales (unless applicable law mandates a different jurisdiction, in which case that mandate is followed). You and Finaive consent to the personal jurisdiction of such courts and waive any objections (including objections based on inconvenience) to the exercise of jurisdiction by those courts.
If you are accessing the Service from a jurisdiction where the above choice of law or forum would not be enforceable or would deprive you of certain mandatory protections, then nothing in this Section shall be read to override any such mandatory protections you have under your local law.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, then that provision shall be deemed modified to the minimum extent necessary to render it valid and enforceable, or if it cannot be so modified, it shall be severed from these Terms. In either case, the remaining provisions of these Terms will remain in full force and effect. Each provision of these Terms operates separately. The intent of the parties is that the Terms be enforced to the greatest extent permitted by law, and to the extent any provision cannot be enforced as written, it should be interpreted or revised so as to best accomplish the original intent within legal limits.
15. Entire Agreement
These Terms (along with any policies or guidelines incorporated by reference, such as our Privacy Policy) constitute the entire agreement between you and Finaive with respect to your use of the TrustScore Service. They supersede all prior or contemporaneous understandings, agreements, communications, and proposals, whether written or oral, between you and Finaive regarding the subject matter herein. You acknowledge that you have not relied on any representation, warranty, or promise that is not expressly stated in these Terms.
No oral or written information or advice given by Finaive, its representatives, or any third party shall create any warranties or obligations that are not expressly outlined in this written agreement. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Finaive. The failure of Finaive to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
